Indigos Media LLC – Terms & Conditions of Sale & Services

By placing an order, approving a proof or quote, or submitting payment, you agree to these Terms and Conditions. These terms apply to all products and services offered by Indigos Media LLC, including graphic design, digital printing, vinyl graphics, banners, signage, vehicle wraps, installation, and related services.

1. Quotes and Approvals

Quotes are valid for 15 days. Prices do not include applicable sales tax, which will be charged in accordance with California law.

Approval of any proof, whether digital or physical, is final. The customer is solely responsible for reviewing spelling, grammar, colors, layout, dimensions, bleeds, and all other details prior to approval. Indigos Media LLC is not responsible for errors that have been approved by the customer.

2. Files and Artwork

Customers are responsible for providing print-ready files that meet the following requirements:

Vector format preferred (AI, EPS, or PDF)
Minimum resolution of 300 DPI
CMYK color mode

Indigos Media LLC is not responsible for color variations resulting from RGB-to-CMYK conversion, low-resolution artwork, distortion, or other issues caused by files supplied by the customer.

We reserve the right to reject files that do not meet production standards. Additional graphic design or file preparation services will be billed at $100 per hour.

3. Production and Turnaround Times

Production and completion times are estimates only and are not guaranteed. Delays caused by customer revisions, incomplete or incorrect files, equipment failure, supply delays, or events beyond our reasonable control do not create liability or entitlement to compensation.

Production quantities may vary by up to ±10% due to standard manufacturing tolerances (overruns or underruns). Additional charges may apply for quantities produced above the amount ordered.

4. Payment Terms

A 50% deposit is required to begin work. The deposit becomes non-refundable once the proof has been approved. The remaining balance must be paid in full before delivery or installation.

Past-due balances are subject to interest at a rate of 3% per month.

Accepted payment methods include check, cash, ACH transfer, debit card, and credit card.

Applicable sales tax will be charged in accordance with California law.

5. Installation Services

For installation services, including vehicle wraps, window graphics, wall graphics, and signage, the customer is responsible for ensuring that all installation surfaces are clean, dry, structurally sound, and suitable for installation.

Indigos Media LLC follows professional installation practices; however, we are not responsible for failures or damages resulting from defective or unsuitable surfaces, pre-existing damage, weather-related conditions, improper maintenance, vandalism, or other circumstances beyond our control.

The customer may be required to sign an additional waiver when appropriate.

6. Warranty and Limitation of Liability

Indigos Media LLC provides a limited 3-month warranty covering manufacturing defects and installation failures for installations performed directly by Indigos Media LLC under normal conditions of use.

This warranty does not cover damage caused by third parties or external circumstances, including but not limited to:

Vandalism
Accidents
Misuse or negligence
Extreme weather conditions
Improper washing or maintenance
Alterations, repairs, or modifications performed by third parties

Certain materials may carry separate manufacturer warranties, such as vinyl warranties of 3–5 years. Any such warranty is subject exclusively to the manufacturer’s own terms, conditions, limitations, and exclusions.

To the maximum extent permitted by law, the liability of Indigos Media LLC is limited to the value of the applicable order, including repair or reprinting at our discretion. Indigos Media LLC is not responsible for indirect damages, lost profits, loss of business, or consequential damages.

7. Returns, Refunds, and Cancellations

All custom-made and personalized products are non-refundable.

Defects must be reported within 7 days of receipt or installation and must include photographic evidence. If a valid defect is confirmed, Indigos Media LLC may, at its discretion, provide a reprint, repair, replacement, or partial refund. Shipping charges are not refundable unless otherwise agreed in writing.

Claims will not be accepted for errors previously approved by the customer or for issues arising after delivery due to misuse, improper handling, third-party modifications, or other circumstances outside our control.

Orders canceled before production begins may qualify for a partial refund, less any costs already incurred and subject to a minimum cancellation charge of 20%.

Once production has begun, the order may not be canceled.

8. Delivery and Shipping

Orders may be picked up at our location or shipped at the customer’s expense and risk.

All shipments are FOB our location unless otherwise agreed in writing. Risk of loss or damage transfers to the carrier once the order has been released for shipment.

Indigos Media LLC is not responsible for shipping delays, lost shipments, or damage occurring while goods are in the possession of the shipping carrier.

9. Intellectual Property

The customer represents and warrants that they own, license, or otherwise have the legal right to use all logos, photographs, artwork, text, trademarks, and other materials supplied to Indigos Media LLC.

The customer agrees to indemnify and hold Indigos Media LLC harmless from claims arising from copyright infringement, trademark infringement, or other intellectual property violations resulting from materials supplied or approved by the customer.

Unless the customer provides a written request prior to production stating otherwise, Indigos Media LLC reserves the right to photograph and display completed work for portfolio purposes, social media, advertising, promotional materials, and other marketing activities.

10. Governing Law

These Terms and Conditions are governed by the laws of the State of California.

Any legal dispute arising from these Terms and Conditions or from products or services provided by Indigos Media LLC will be resolved in San Mateo County, California, subject to applicable law.

Indigos Media LLC reserves the right to update or modify these Terms and Conditions at any time. The current version will be made available upon request or through our official channels.
